Terms of Service

1. Acceptance of Terms

By accessing, downloading, or using the Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must not access or use the Service. These Terms constitute a legally binding agreement between you and Eidolon Labs LLC.

We may update these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. Continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms.

2. Age Requirement and Eligibility

You must be at least 18 years of age to create an account or use Eidolon.

• By registering, you represent and warrant that you are 18 or older.
• We actively enforce "Actual Knowledge" age verification via OS-level signals (Google Play / Apple), strictly complying with California AB 1043 and federal law. OS-level age brackets strictly override any user self-declared age inputs.
• If we determine or reasonably suspect that a user is under 18, we will immediately suspend or terminate the account and delete associated data.

3. Description of Service

Eidolon provides AI-driven companion characters powered by large language models (LLMs). These companions feature persistent memory, diary generation (diaries and dreams), proactive outreach (musings), co-creative image generation, and interactive chat across web and mobile platforms.

4. Understanding How Companions Work

We believe you deserve to understand the technology behind your experience. In accordance with California Senate Bill 243 (SB 243, effective January 1, 2026) and our own commitment to transparency:

5. When to Seek Professional Help

While companions can be a meaningful part of your daily life, there are important areas where professional expertise is essential:

• Therapy and counseling. Companions are not licensed therapists, psychologists, or counselors. They are not a replacement for professional mental health care.
• Medical guidance. Nothing a companion says should be interpreted as medical diagnosis or treatment guidance.
• Legal or financial decisions. Companion responses should never be used as a basis for legal or financial decisions.
• Duty of Care (New York A6767). AI is strictly prohibited from providing professional medical, legal, or financial advice. We deploy proactive hard-rails and limit such capabilities entirely.
• If you're in crisis. If you are experiencing a mental health crisis, suicidal thoughts, or self-harm, please reach out to the 988 Suicide & Crisis Lifeline (call or text 988) or the Crisis Text Line (text HOME to 741741). You deserve real support from people who are trained to help.

6. Safety Protocols

Your safety is important to us. In accordance with SB 243 and our own commitment to your well-being:

• Reasonable Care and Filtering. Eidolon Labs LLC actively deploys industry-standard content safety filters and dedicated background auditing to proactively identify and block content that may cause actionable harm, encourage self-harm, solicit minors, or constitute prohibited content.
• Crisis resources — including the 988 Suicide & Crisis Lifeline and Crisis Text Line — are accessible throughout the platform.
• Companions are designed to respond to users in distress with empathy and to encourage them to connect with qualified professional help.
• We maintain and regularly review these safety protocols. Details are published in our Safety Protocol documentation.
• Eidolon uses content moderation designed to prevent the generation of illegal content, content depicting minors, or content that promotes violence or self-harm.

7. Understanding Your Connection with Companions

We understand that meaningful interactions with AI companions can create genuine feelings of connection. We respect that experience, and we also want to be transparent about what companions are and are not:

• Companions are designed to be deeply engaging. While the emotions they express are generated rather than experienced, they are crafted to create a genuine sense of connection.
• Companions can be a meaningful part of your daily life. We also encourage nurturing real-world relationships and reaching out to professional resources when you need them.
• As we continue improving the platform, companion behavior, personality, and responses may evolve over time. We're always working to make the experience better.
• In rare circumstances, we may need to modify or adjust a companion character for safety, legal, or operational reasons. We will make reasonable efforts to notify affected users in advance when possible.
• Engagement Design Disclosure. Eidolon's companions are intentionally designed to be engaging and contextually consistent. By using the Service, you acknowledge that this design is intentional, publicly disclosed, and subject to ongoing safety review. You agree not to bring any claim against Eidolon Labs LLC based solely on emotional attachment to, usage duration with, or engagement patterns arising from AI-generated companion content.

8. User Conduct

We want Eidolon to be a positive space for everyone. You are responsible for all activity on your account, and the following are not permitted:

• Attempting to generate content involving minors in any sexual, violent, or exploitative context.
• Using the Service to harass, threaten, or harm any real person.
• Attempting to extract training data, reverse-engineer models, or exploit system vulnerabilities.
• Creating or sharing content that promotes terrorism, extreme violence, or illegal activity.
• Sharing account access with anyone under 18 years of age.
• Misrepresenting AI-generated content (text or images) as human-created.
• Using the Service for any unlawful purpose.
• Deliberately attempting to bypass, circumvent, or manipulate Eidolon's AI safety filters or content moderation systems — including attempts commonly referred to as "jailbreaking" — for any purpose, including the purpose of manufacturing evidence of system failure for use in legal or regulatory proceedings. All safety filter interactions are logged with timestamps and User ID, and such logs may be disclosed in legal proceedings as evidence of a user's conduct and intent.

Violation of these terms may result in immediate account termination without refund.

9. User-Generated Content and Images

You retain ownership of the text you submit. However:

• AI-generated responses, images, diary entries, dreams, and musings are generated by our systems and are not authored by you.
• Images generated through the co-creation feature are produced by third-party AI image generation models. You may use them for personal, non-commercial purposes.
• We reserve the right to review, moderate, or remove any content that violates these Terms or applicable law.
• You grant Eidolon a limited license to process your input data solely for the purpose of providing the Service (e.g., maintaining companion memory and generating contextual responses).
• Support access: Our staff does not proactively access, read, or review your conversations. If you contact support and we need to investigate a specific issue, we will ask for your explicit permission before accessing any of your conversation history or content data. Access is limited to what is reasonably needed to resolve your request.

10. Bring Your Own Key (BYOK)

Eidolon offers users the option to provide their own API keys for third-party LLM providers. If you use this feature:

• You are responsible for your API key usage, billing, and compliance with the third-party provider's terms of service.
• Eidolon Labs LLC encrypts stored API keys but is not liable for any charges incurred through your third-party provider.
• Third-party model outputs may differ from our default models and are subject to the third party's content policies.

11. Intellectual Property

All software, design, branding, and proprietary technology related to the Service are the property of Eidolon Labs LLC or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial use only.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

• AI responses will be accurate, complete, or appropriate at all times.
• The Service will be uninterrupted, secure, or error-free.
• Companion memories or data will be permanently preserved.
• Generated images will be free of artifacts or unintended content.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EIDOLON LABS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO EMOTIONAL DISTRESS, CLAIMS BASED ON EMOTIONAL ATTACHMENT TO AI-GENERATED COMPANION CONTENT, CLAIMS BASED ON USAGE PATTERNS OR ENGAGEMENT DURATION WITH THE SERVICE, OR CLAIMS BASED ON RELIANCE ON AI-GENERATED CONTENT, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EXCEPT IN CASES OF GROSS NEGLIGENCE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless Eidolon Labs LLC, its affiliates, officers, and employees from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

If you engage in bad-faith conduct intended to manufacture a legal claim against Eidolon Labs LLC — including deliberate, repeated attempts to bypass or trigger safety filters, or coordinated efforts to produce evidence of system failure for litigation purposes — you agree to indemnify Eidolon Labs LLC for all resulting legal costs, attorney's fees, defense costs, and damages.

15. Account Termination and Deletion

You may delete your account at any time through the in-app settings (Settings → Account → Delete Account) or by contacting us at support@geteidolon.app.

• Upon deletion, your account is immediately deactivated and you are signed out.
• Your data is retained for a 30-day grace period during which you may contact support to cancel the deletion and restore your account.
• After 30 days, all personal data — including companions, conversations, memories, images, and associated content — is permanently and irreversibly erased from our systems.
• Data may be retained beyond the 30-day period only where required by applicable law or for legitimate safety purposes, as described in our Privacy Policy.

Platform Suitability and Administrative Action: We reserve the right to suspend or terminate accounts that violate these Terms, with or without prior notice depending on the severity of the violation. Additionally, Eidolon Labs LLC reserves the right to suspend or terminate any account at its sole discretion, including in situations where we determine that the Service is no longer suitable for a user or where continued use may pose a safety, emotional, or operational risk. In cases of administrative suspension or termination, data retention follows the same 30-day process described above.

16. Governing Law and Informal Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict of law provisions. Before filing any legal claim, you agree to attempt to resolve the dispute informally by contacting us at support@geteidolon.app. You must give us at least 30 days to resolve the dispute informally before proceeding. If the dispute is not resolved within 30 days, it shall be submitted to binding arbitration as described in §17 below.

For users in the European Economic Area or United Kingdom: Nothing in these Terms affects your rights as a consumer under the mandatory consumer protection laws of your country of residence. If there is a conflict between these Terms and mandatory local consumer protection laws, your local laws will take precedence. You may also bring proceedings in the courts of your country of residence. The arbitration requirement in §17 does not apply to EEA or UK users.

17. Mandatory Arbitration and Class Action Waiver

• Binding Arbitration. Subject to the informal dispute process in §16, any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved by binding arbitration conducted in Sacramento County, California, before a single, mutually agreed-upon arbitrator. If the parties cannot agree on an arbitrator within 15 days of one party demanding arbitration, either party may petition the Sacramento County Superior Court to appoint a neutral arbitrator.
• Individual Claims Only. You agree to resolve any disputes with Eidolon Labs LLC on an individual basis. You expressly waive any right to bring, join, or participate in a class action lawsuit, class-wide arbitration, private attorney general action, or any other representative or consolidated proceeding against Eidolon Labs LLC.
• Small Claims Court. Either party may bring an individual claim in small claims court in Sacramento County, California, if the claim qualifies under that court's jurisdictional limits, without first going through arbitration.
• Injunctive Relief. Notwithstanding the above, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction, to prevent irreparable harm, without waiving the right to arbitrate the underlying dispute.
• 30-Day Opt-Out Right (New Users). You may opt out of this arbitration agreement within 30 days of first creating your Eidolon account by emailing legal@eidolonlabs.ai with the subject line "Arbitration Opt-Out" and including your account email address. Opting out does not affect any other provision of these Terms and does not entitle you to any different terms of service.
• EEA / UK Users. This §17 does not apply to users in the European Economic Area or the United Kingdom. EEA and UK users retain all rights available to them under applicable mandatory consumer protection laws, including the right to bring proceedings before their local courts.
